ViddyScribe provides video processing and audio description services. Our platform processes videos to generate descriptive audio content using artificial intelligence and machine learning technologies.
"You" and "User" refer to any individual or entity accessing or using the Services.
Users must ensure they have the necessary rights and permissions for any video content uploaded to our platform. Users are responsible for the accuracy and appropriateness of all content submitted to ViddyScribe.
Users agree not to upload any content that:
The Services are provided on an "as is" and "as available" basis. ViddyScribe makes no warranties, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted, secure, or error-free.
ViddyScribe does not guarantee the accuracy, completeness, or reliability of any audio descriptions generated through the Services.
ViddyScribe retains all rights, title, and interest in and to the Services, including all software, technology, and underlying intellectual property. Except for the limited rights expressly granted in these Terms, no rights are granted to users.
By using the Services, you acknowledge that video content you upload will be processed by ViddyScribe and its subprocessors for the sole purpose of providing the Services.
You grant ViddyScribe a limited, non-exclusive license to host, process, reproduce, and transmit uploaded content solely as necessary to provide the Services.
ViddyScribe does not use user-uploaded content to train machine learning models, and contractually prohibits its subprocessors from doing so, except as expressly authorized by you.
ViddyScribe utilizes infrastructure providers that maintain SOC 2 compliance. ViddyScribe maintains reasonable administrative, technical, and physical safeguards designed to protect customer content against unauthorized access, disclosure, alteration, or destruction.

Users agree to pay all fees for their subscription plan. Fees are non-refundable except where required by law. We may modify pricing with appropriate notice.
You are responsible for any applicable taxes associated with your subscription.
Failure to pay fees when due may result in suspension or termination of access.
Except for a user's payment obligations and an Enterprise Customer's indemnification obligations under Section 9.7, to the maximum extent permitted by law, ViddyScribe's aggregate liability arising out of or related to the Services will not exceed the total fees paid by the user to ViddyScribe in the twelve (12) months preceding the event giving rise to the claim.
In no event will ViddyScribe be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
The foregoing limitations do not limit a user's obligation to pay fees owed under these Terms.
An "Enterprise Customer" is a business or organization that subscribes to an enterprise-level plan, including the Starter plan, or otherwise activates an enterprise subscription through direct communication with ViddyScribe.
Enterprise Customers may be governed solely by these Terms unless a separate written agreement is executed.
Unless otherwise agreed in writing, Enterprise Customer grants ViddyScribe a non-exclusive, worldwide, royalty-free right to use Customer's name and logo solely to identify Customer as a user of the Services on ViddyScribe's website and marketing materials.
Enterprise Customer may opt out of such use at any time by written notice to support@viddyscribe.com. ViddyScribe will remove the Customer's name and logo within a commercially reasonable period following such request.
Enterprise Customers are granted a limited, non-exclusive, non-transferable right to access and use the Services for their internal business purposes in accordance with their subscription plan.
Access and usage may be subject to limits based on number of users, usage volume, API calls, storage, or other metrics as described in the applicable plan.
Enterprise Customers may be entitled to service level commitments (e.g., uptime, support response times) as detailed in a separate Service Level Agreement.
Enterprise subscriptions operate on a recurring billing basis. There are no fixed minimum terms unless otherwise agreed in writing.
Enterprise Customers may cancel at any time. Access will continue through the end of the current billing period, after which the subscription will terminate.
Enterprise Customers retain ownership of all content they upload to the Services. ViddyScribe obtains no ownership rights in such content, except as necessary to provide the Services in accordance with these Terms.
"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Each party agrees to use reasonable care to protect the other party's Confidential Information and not disclose it except as necessary to perform under these Terms or as required by law.
Enterprise Customer will indemnify, defend, and hold harmless ViddyScribe and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Enterprise Customer's content, including any allegation that such content infringes or misappropriates third-party rights; (b) Enterprise Customer's use of the Services in violation of these Terms or applicable law; or (c) any breach of these Terms by Enterprise Customer.
Enterprise Customers are subject to the Limitation of Liability section above unless otherwise agreed in a written agreement.
ViddyScribe may suspend or terminate access to the Services for material breach of these Terms, non-payment, suspected fraud or abuse, or where required by law. Users may cancel their subscription at any time, with access continuing through the end of the current billing period.
Sections that by their nature should survive termination, including Intellectual Property, Indemnification, Limitation of Liability, and Governing Law, will survive termination.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
Users may not assign these Terms without ViddyScribe's prior written consent. ViddyScribe may assign these Terms in connection with a merger, acquisition, or sale of assets.
These Terms constitute the entire agreement between you and ViddyScribe regarding the Services. If you have entered into a separate written agreement with ViddyScribe (such as a Master Services Agreement, Enterprise Agreement, or similar), that agreement will control in the event of any conflict with these Terms.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
We may update these terms from time to time. Continued use after changes constitutes acceptance.
